PHG Board Meeting 01-23-20

Agenda
PHG Board Meeting
7 PM, January 23, 2020
Room 4, Multnomah Arts Center

  1. Call to Order 7:00 PM
    1. Roll Call: Dan, Maggie, Sylvia, Janis, Lynn, Barbara, Sue, Robin, Pat, Laura
    2. Determination of Quorum
    3. Any changes to the agenda
  2. Minutes from previous board meeting approved.
  3. Correspondence: Card and note from  Ann Witkowski, niece of Dorothy Scott, about setting up a scholarship in her memory.
  4. Old Business
    1. GOTG Agreement: Pretty much set, ready to go for this year. There is one change: usually we give a downpayment in April or May, but this year it is earlier, and we have already paid for 2021.
      1. PHG sale jurying has been done and notices have been sent out.
      2. Discussion of what to do in case we had three instead of two people drop out; we have two people on the waiting list. We could use the extra table for the Guild. Display and/or sale, possibly with central checkout using Square.
  5. New Business
    1. Change to 501(c)(3): The reporting would be the same as 501c4. We would be able to accept charitable donations and give people tax.
      1. We might have to make some amendments to the bylaws to make it clear we qualify. WeGO and a local spinning group have changed to a 501(c)(3). Have an official outreach position again?
      2. Motion proposed to proceed—Maggie, seconded by Sue. Dan amended the motion to develop bylaw amendments that would be ready to support it, that would be ready to distribute to members in March, followed by an electronic vote in March or April. Motion carried.
    2. Budget. Workshops vary, can be 600 or more. Dan suggested having a two-year budget to present in June, with firm numbers for 2021 and tentative numbers for the year after.
    3. WeGO: Our dues this year are $104.50 (.50 per member).
      1. WeGO traveling show—we decided we wanted to participate for 2023-2024. Last time it was December-January. We need someone to look for a venue since Marylhurst isn’t available. We would have to pay for any receptions.  The last time, WeGO paid for much of it, and the space was free.
      2. Peg Silloway workshop. Enough guilds have signed up, so WeGO is able to proceed.
    4. Workshop survey: workshops are scheduled for most of the highest-scoring  results: complex weaving, double weave, etc. Pricing—it appears we will be netting $5,000. Considering adjusting pricing in the future. Idea for a beginning weaving workshop—a study group might be a better fit. Scheduling and mentorship need to be figured out. There are other topics that could be explored, as well. This would also fall under the topic of outreach.
    5. March date for New Member Tea: Sunday, March 8th  1-3 PM.
    6. Screening of the film Interlacements: Threads and Lives: Film, by Marilyn Romatka, at Clinton Street Theater on Thursday, April 30. We will open it to the public.
  6. Director Reports (time permitting)
  7. Adjourn
